In January 2010, Grace and Flavour agreed and adopted new Articles of Association, as part of our transition to a Community Interest Company (CIC). The Aims and Objectives of the organisation remain the same, and all existing members were carried over to the new company. If you would like to be a member you will need to accept the Aims & Objectives, and the attached Articles of Association.   

AIMS & OBJECTIVES:

Grace & Flavour exists to cultivate land at Dene Place which will be leased from the National Trust and may acquire the use of other sites in future. 

The Aims & Objectives of the organisation are to:

ü  actively cultivate a sense of community by connecting people to the land,

ü  work to develop a sustainable community agriculture delivering social

 benefits in education and health.

ü  manage a local food co-operative of allotments and/or a community kitchen garden as a not for profit social enterprise, that produces nutritious, safe, and fairly priced local food for its members who are drawn from the Horsleys and immediate surrounding areas. 

MEMBERSHIP:

Membership shall be open, irrespective of nationality, race, colour, age,sexuality, political or religious belief, to:

  •  any resident of East or West Horsley
  • anyone working in either village
  • organisations wishing to support Grace & Flavour who pay the Corporate Membership subscription.
  • To anyone who does not fulfil these criteria by invitation from an existing member.

NB members of this type must comprise no more than 10% of the total membership numbers. 

Members (with the exception of Corporate Members) aged sixteen and over will be regarded as full members and will be entitled to vote at General Meetings (one vote per member). Members under the age of sixteen will not be entitled to vote at General Meetings and will be regarded as cadet members.

No membership subscription is payable by members, but each member will become so for the period of one year (the membership term) by written confirmation that they adopt and agree to be governed by the constitution and any other written codes of conduct and conditions agreed by the Steering Committee .

Membership will entitle the Member to participate in Grace & Flavour activities and produce-sharing schemes as well as visiting the production sites under agreed conditions and at agreed times for social purposes. These agreed conditions are to be set by the Steering Group unless delegated to the landowner or site manager.

Members who participate will be consulted when determining crop growing plans and will be given priority when sharing and selling the harvest, the distribution of which will be decided by the Steering Group.

MEMBERSHIP LEVELS:

On participation in a produce-sharing scheme, Members will be expected to pay for produce to fund the costs of production and distribution. Pricing will be set by the Steering Group and will take into account the contribution made the members.

Members and non-members may make donations to the Organisation to further its aims. 

Companies or other organisations taking out Corporate Associate Membership will pay £250 as an annual subscription decided by the Steering Group.

CONDUCT OF BUSINESS:

It shall be a condition of membership that members at all times conduct themselves in a reasonable manner at meetings or in premises used by the organisation. This will include abiding by the conditions of any contracts or agreements into which the Organisation has entered. 

Any member may be excluded for breach of this condition, or for any other conduct contravening the aims of the organisation, by a majority of those present and voting at any Steering Group Meeting or General Meeting. Any member so excluded shall have a right of appeal to the following General Meeting.

The Organisation will be non-party in politics and non-sectarian in religion.
